Announcement of Annual General Meeting - Thursday, November 6, 2025
Sunnyvale Alliance Soccer Club holds a meeting of the membership each year to conduct business of the general membership including the vote for the Board of Directors' seats up for election that year, and approval of any proposed amendments to the
SASC Constitution.

For 2025, SASC is returning to an in-person Annual General Meeting, which will be held at 8pm on November 6, 2025, at the
De Anza Park Building.

Constitutional Amendments
At the September Board Meeting, SASC's Board of Directors approved updates to the club's Constitution.
SASC is a member-governed nonprofit, so proposed updates to the Constitution must be approved by SASC Members at the upcoming Annual General Meeting.

The Restated Constitution represents a comprehensive modernization and restructuring of the club’s governance framework.
It reorganizes articles for clarity, aligns explicitly with applicable California law, and formalizes board and membership procedures.
Substantive changes affect membership rights, board and committee structure and composition, officer roles, and fiscal and compliance policies.
Below we have provided a summary of the material changes proposed (with rationale for change in
italics).
Mission
- Includes the club's mission statement
Members
- Clarifies Members ability to vote to elect/remove Directors and on major changes to SASC
- Clarifies process by which Members can be suspended or expelled, as well as to appeal any such decision
- Clarifies notification requirements for, and process by which Members may call Membership Meetings
Board/Officers/ Committees
- Reduces Board from 9 to 7 Directors by removing Volunteer Director, Recreational Registrar and Competitive Registrar roles, while creating an At-Large Director role
- Those responsibilities are already managed by other Board members, club staff and other volunteers, and do not reflect the governance roles that an effective nonprofit Board should perform. Similarly, the At-Large Director role allows for the recruitment of a Board member with strategic (rather than operational) responsibilities
- Changes Board meeting cadence from monthly to every other month
- Creates space for Committee meetings
- Creates the following Committees: Finance and Audit Committee, Competitive Committee, Recreational Committee, Disciplinary Committee
- Shifts primary responsibility for financial, programmatic, and disciplinary oversight from a single director to dedicated committees, which will meet in between Board meetings
- Audit Committee created to comply with California legal requirements
- Creates the Executive Director position as an employee serving as chief executive of SASC, shifting that responsibility from the volunteer President.
Others
- Clarifies SASC's annual budgeting and financial statement preparation processes
- Permits SASC to indemnify Directors and employees
- Codifies SASC's Conflict of Interest Policy
- Adopts Robert's Rules as SASC's parliamentary authority

Elections
The following Board positions are up for election per our Constitution:
- Vice President - Haruko Matsuda (Nominee and incumbent)
- Secretary - Stefana Gartu (Nominee and incumbent)
- Competitive Director - Jim Jones (Nominee and incumbent)
- Recreational Registrar - No nominees at this time *
- Volunteer Director - No nominees at this time *
* If the Restated Constitution is approved, which will occur before the election of Board positions, this position will be eliminated.
The term of a board member is two years. The term for these positions starts in January 2026.
Board members are expected to fulfill the responsibilities of their office and attend regular board meetings.
Only current SASC members are eligible for board positions.
SASC is a volunteer run club. The Board of Directors is responsible for maintaining the infrastructure of the Club as well as responding to the needs of our members.
